1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client", "you") and Trade Oracle Technologies LLP ("Toradle", "we", "us", or "our"), governing your access to and use of our engineering services, websites, software deliverables, and digital applications (including toradle.ai and associated studio products).
2. Services & Engineering Deliverables
Toradle provides custom software development, applied artificial intelligence workflows, agent orchestration, and geospatial data engineering. Specific deliverables, milestones, and timelines are defined in project statements of work (SOW) or designated service tiers.
3. Billing, Fees & Paddle Merchant of Record
Online payments for advisory packages, technical sprints, and software products are facilitated by Paddle:
- Merchant of Record: Paddle acts as our merchant of record, calculating and remitting applicable sales tax, VAT, or GST based on your legal jurisdiction.
- Invoicing: Deliverables and retainer milestones are billed per the agreed scope. Payment is due upon receipt of invoice unless net payment terms are mutually agreed in writing.
- Cancellations: You may cancel recurring retainers with written notice prior to the start of the subsequent monthly period.
4. Intellectual Property Rights
Upon full settlement of all corresponding fees and invoices:
- Client owns all right, title, and interest in and to the custom software, applications, and code developed specifically for Client.
- Toradle retains ownership of pre-existing studio libraries, frameworks, open-source modules, and general know-how, granting Client a perpetual, royalty-free, non-exclusive license to use such incorporated materials within the delivered software.
5. Client Responsibilities & Data
Client is responsible for providing necessary technical specifications, API credentials, and timely feedback required to meet agreed milestones. Client warrants that any data or materials provided to Toradle do not infringe third-party intellectual property rights.
6. Confidentiality
Both parties agree to protect proprietary information, business details, source code, and non-public data with reasonable care and to use such confidential information only for fulfilling project objectives.
7. Warranties and Disclaimers
Toradle provides software engineering services in a professional and workmanlike manner. Except as expressly stated, all deliverables are provided "AS IS" without warranty of any kind, whether express or implied.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Trade Oracle Technologies LLP or its directors, contractors, or affiliates be liable for indirect, incidental, consequential, special, or punitive damages. Total aggregate liability shall not exceed the total fees paid by Client to Toradle in the preceding three (3) months.
